Scope of Application
1.1 This Website provides an online platform that allows customers to upload design files for CNC-manufactured components, and access a variety of machining and production services offered by Design to Product, Ltd. using a network of certified suppliers.
1.2 These Terms of Use exclusively apply to business customers (hereinafter “Customer” or “Customers”) who are acting in a business capacity as defined under applicable UK law. We do not enter into contracts with individual consumers.
1.3 We reserve the right to amend these Terms of Use as required, particularly in the event of operational challenges or legal gaps. Any changes will be communicated at least four weeks before their effective date. If you do not object within this period, the changes will be considered accepted.
User Registration and Account Security
2.1 To access the full functionality of the Website, you must first register for an account. During registration, you are required to provide complete and accurate information. The protection of your account credentials is your responsibility, and any unauthorised access must be reported immediately.
2.2 The use of the Website to create false orders (such as price testing or other forms of manipulation) is strictly prohibited. We reserve the right to take any action necessary to prevent such misuse, including the suspension or termination of accounts.
Order Process and Contract Formation
3.1 Customers may submit requests for quotations (RFQs) through the Website or via email. Based on the request, Design to Product, Ltd. will provide a quotation detailing the service specifications and pricing. The offer is valid for ten (10) working days, during which time the Customer may accept the offer without modifications.
3.2 Once an order is accepted, we will review the feasibility of fulfilling the order based on the specifications provided. If modifications are necessary, the Customer will be notified promptly. If the Customer does not agree to the proposed changes or the product cannot be manufactured, either party may cancel the contract without incurring any liabilities.
Pricing, Payment, and Delivery Costs
4.1 All prices quoted are exclusive of VAT, duties, and other applicable taxes unless explicitly stated. Additionally, the cost of packaging, freight, and transport will be calculated separately and provided in the quotation.
4.2 Payment terms include payment via invoice or advance payment by credit card. Invoices must be settled within thirty (30) days of dispatch unless otherwise agreed. Design to Product, Ltd. reserves the right to request advance payment based on internal risk assessments prior to confirming an order.
4.3 Any prices provided in quotations are specific to the individual order and cannot be assumed to apply to future or repeat orders unless explicitly agreed.
Intellectual Property and Data Use
5.1 All intellectual property rights, including those related to designs, models, and specifications uploaded by the Customer, remain the property of the Customer. Design to Product, Ltd. and its suppliers are granted a limited, non-transferable licence to use these materials solely for the purpose of fulfilling the specific order.
5.2 Design to Product, Ltd. ensures that all customer data, including CAD files, will be treated as confidential and will only be shared with third-party suppliers as required to fulfil the order. No data will be shared outside of our supply chain network. We may retain customer data for up to twenty-four (24) months for the purpose of repeat orders, unless a longer retention period is required by law.
5.3 Suppliers that do not receive an order after reviewing the provided designs are required to promptly delete any customer files and data.
Confidentiality and Security
6.1 Design to Product, Ltd. and its authorised suppliers are bound by confidentiality obligations concerning all customer data, specifications, and any other proprietary information shared for the purposes of fulfilling an order. We take all reasonable precautions to protect such information from unauthorised access or misuse.
6.2 Upon termination of the business relationship or the completion of the order, all confidential information will be either returned to the Customer or securely destroyed, unless we are legally required to retain it.
6.3 We apply stringent IT security measures in line with industry standards to protect customer data and ensure that only authorised personnel have access to it.
Packaging and Delivery
7.1 All products will be packaged in compliance with relevant technical, legal, and regulatory requirements. The risk of loss or damage passes to the Customer once the product is handed over to the shipping provider, unless otherwise agreed.
7.2 Design to Product, Ltd. may deliver in instalments where reasonable. Delivery times are binding as agreed in the order confirmation, but they may be extended in the event of force majeure, including unforeseen supply chain disruptions or other factors outside our control.
Quality Assurance, Warranties, and Liability
8.1 The warranty for defects is governed by applicable UK law. We guarantee that the products will conform to the specifications provided by the Customer. However, we do not guarantee that the products will be suitable for any specific purpose beyond these specifications.
8.2 If the product is defective, the Customer must notify us within seven (7) working days of receipt for visible defects, or within five (5) days of discovery for hidden defects. Failure to provide timely notice may result in the forfeiture of the Customer’s rights to a remedy.
8.3 Our liability is limited to direct damages foreseeable at the time of the contract and does not extend to indirect or consequential losses unless the damages arise from gross negligence, wilful misconduct, or injury to life, health, or property.
8.4 In the event of a defect, Design to Product, Ltd. reserves the right to either repair the defective product or replace it with a non-defective version. If repair or replacement fails, the Customer may request a price reduction or cancel the contract.
Limitation of Liability
9.1 We are only liable for losses arising from gross negligence or wilful misconduct. For any other claims, liability is limited to the foreseeable damages typical to the contract, except in cases involving personal injury or death.
9.2 The warranty period for products is one (1) year from the date of delivery, unless otherwise specified by law.
Termination of Agreement
10.1 Either party may terminate the agreement with three (3) months’ notice to the end of the month. Termination for cause, such as breach of the terms, may result in immediate cancellation without notice.
10.2 Upon termination, access to the Website will be disabled, and any active orders will be processed in line with the agreed terms. Any remaining confidential information must be returned or securely destroyed.
Governing Law and Dispute Resolution
11.1 These Terms of Use are governed by the laws of England and Wales. Any disputes arising under or in connection with these terms shall be subject to the exclusive jurisdiction of the courts in England.
